These Terms of Service (“Terms”) govern your access to and use of the Aguardic platform, website, and related services (collectively, the “Service”) operated by Aguardic (“we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Account Terms
Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
Organization Accounts
The individual who creates an organization account is the initial owner. Owners can invite members, assign roles, and manage billing. Each organization's data is isolated and accessible only to its authorized members.
Age Requirement
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.
Use of the Service
Permitted Use
You may use the Service to create, manage, and enforce governance policies; upload documents to knowledge bases; connect third-party integrations; evaluate content against policies; and access audit trails and reports — all in accordance with these Terms and your subscription plan.
Prohibited Use
You may not: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or other users' data; (c) interfere with or disrupt the Service; (d) reverse engineer, decompile, or disassemble the Service; (e) resell or sublicense the Service without our written consent; or (f) use the Service to store or transmit malicious code.
API & Integration Use
You may access the Service programmatically via our API subject to rate limits and usage quotas defined by your subscription plan. Excessive or abusive API usage may result in temporary or permanent restrictions.
Your Content
You retain all rights to the content you upload, create, or transmit through the Service (“Your Content”), including documents, policies, knowledge base materials, and evaluation data.
You grant us a limited, non-exclusive license to host, process, and display Your Content solely as necessary to provide the Service. We do not use Your Content for training AI models, and we do not share it except as described in our Privacy Policy.
You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights.
Subscription & Billing
Plans & Pricing
The Service is offered under various subscription plans with defined usage limits. Current pricing is available on our Pricing page. We reserve the right to modify pricing with 30 days' notice.
Payment
Subscription fees are billed in advance on a monthly or annual basis. Payment is processed by Stripe. You are responsible for providing valid payment information and paying all fees when due.
Overages
If your usage exceeds your plan's limits and you have enabled overage billing, additional charges will apply at the rates specified in your plan. Overages are billed at the end of each billing period.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods. Upon cancellation, your access continues until the end of the paid period.
Policy Marketplace
The Aguardic Marketplace offers pre-built governance policy templates. Subscribed marketplace policies may be updated by their publishers. We make reasonable efforts to ensure marketplace content is accurate, but we do not guarantee that marketplace policies constitute legal advice or ensure regulatory compliance.
You are responsible for reviewing and adapting marketplace policies to your organization's specific requirements.
Availability & Support
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
Support is provided via email at support@aguardic.com. Response times and support channels vary by subscription plan.
Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Aguardic and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription term.
Nothing in these Terms transfers ownership of Aguardic's intellectual property to you, or your intellectual property to us.
Limitation of Liability
To the maximum extent permitted by law, Aguardic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Aguardic in the twelve (12) months preceding the claim.
Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. Aguardic does not warrant that the Service will be error-free, secure, or uninterrupted.
Aguardic is a governance tooling platform, not a law firm. The Service does not constitute legal advice. You are responsible for ensuring your own regulatory compliance. Policy evaluations and marketplace content are tools to assist your compliance efforts, not substitutes for qualified legal counsel.
Termination
Either party may terminate these Terms at any time. You may stop using the Service and delete your account. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we determine that your use poses a risk to the Service or other users.
Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
